NEW PRIVACY POLICY

We respect your privacy and are committed to protecting it through our compliance with this privacy policy (“Policy”). This Policy describes the types of information we may collect from you or that you may provide (“Personal Information”) in the “scin - 3D-Scanning” mobile application (“Mobile Application” or “Service”) and any of its related products and services (collectively, “Services”), and our practices for collecting, using, maintaining, protecting, and disclosing that Personal Information. It also describes the choices available to you regarding our use of your Personal Information and how you can access and update it.
 
This Policy is a legally binding agreement between you (“User”, “you” or “your”) and viscan GmbH (“viscan GmbH”, “we”, “us” or “our”). If you are entering into this Policy on behalf of a business or other legal entity, you represent that you have the authority to bind such entity to this Policy, in which case the terms “User”, “you” or “your” shall refer to such entity. If you do not have such authority, or if you do not agree with the terms of this Policy, you must not accept this Policy and may not access and use the Mobile Application and Services. By accessing and using the Mobile Application and Services, you acknowledge that you have read, understood, and agree to be bound by the terms of this Policy. This Policy does not apply to the practices of companies that we do not own or control, or to individuals that we do not employ or manage.


 
Automatic collection of information
 
When you use the Mobile Application, our servers automatically record information that your device sends. This data may include information such as your device’s IP address and location, device name and version, operating system type and version, language preferences, information you search for in the Mobile Application, access times and dates, and other statistics.
 
Information collected automatically is used only to identify potential cases of abuse and establish statistical information regarding the usage of the Mobile Application and Services. This statistical information is not otherwise aggregated in such a way that would identify any particular User of the system.


 
Collection of personal information
 
You can access and use the Mobile Application and Services without telling us who you are or revealing any information by which someone could identify you as a specific, identifiable individual. If, however, you wish to use some of the features offered in the Mobile Application, you may be asked to provide certain Personal Information (for example, your name and email address).
 
We receive and store any information you knowingly provide to us when you create an account,  or fill any forms in the Mobile Application. When required, this information may include the following:
 
- Account details (such as user name, unique user ID, password, etc)
- Contact information (such as email address, phone number, etc)
- Basic personal information (such as name, country of residence, etc)
- Geolocation data of your device (such as latitude and longitude)
- Certain features on the mobile device (such as contacts, calendar, gallery, etc)
 
You can choose not to provide us with your Personal Information, but then you may not be able to take advantage of some of the features in the Mobile Application. Users who are uncertain about what information is mandatory are welcome to contact us.


 
Use and processing of collected information
 
We act as a data controller and a data processor when handling Personal Information, unless we have entered into a data processing agreement with you in which case you would be the data controller and we would be the data processor.
 
Our role may also differ depending on the specific situation involving Personal Information. We act in the capacity of a data controller when we ask you to submit your Personal Information that is necessary to ensure your access and use of the Mobile Application and Services. In such instances, we are a data controller because we determine the purposes and means of the processing of Personal Information.
 
We act in the capacity of a data processor in situations when you submit Personal Information through the Mobile Application and Services. We do not own, control, or make decisions about the submitted Personal Information, and such Personal Information is processed only in accordance with your instructions. In such instances, the User providing Personal Information acts as a data controller.
 
In order to make the Mobile Application and Services available to you, or to meet a legal obligation, we may need to collect and use certain Personal Information. If you do not provide the information that we request, we may not be able to provide you with the requested products or services. Any of the information we collect from you may be used for the following purposes:
 
- Create and manage user accounts
- Improve products and services
- Send administrative information
- Send product and service updates
- Respond to inquiries and offer support
- Request user feedback
- Improve user experience
- Respond to legal requests and prevent harm
- Run and operate the Mobile Application and Services
 
Processing your Personal Information depends on how you interact with the Mobile Application and Services, where you are located in the world and if one of the following applies: (a) you have given your consent for one or more specific purposes; (b) provision of information is necessary for the performance of this Policy with you and/or for any pre-contractual obligations thereof; (c) processing is necessary for compliance with a legal obligation to which you are subject; (d) processing is related to a task that is carried out in the public interest or in the exercise of official authority vested in us; (e) processing is necessary for the purposes of the legitimate interests pursued by us or by a third party. We may also combine or aggregate some of your Personal Information in order to better serve you and to improve and update our Mobile Application and Services.
 
We rely on user’s consent and performance of a contract as legal bases upon which we collect and process your Personal Information.
 
Note that under some legislations we may be allowed to process information until you object to such processing by opting out, without having to rely on consent or any other of the legal bases above. In any case, we will be happy to clarify the specific legal basis that applies to the processing, and in particular whether the provision of Personal Information is a statutory or contractual requirement, or a requirement necessary to enter into a contract.


 
Managing information
 
You are able to delete certain Personal Information we have about you. The Personal Information you can delete may change as the Mobile Application and Services change. When you delete Personal Information, however, we may maintain a copy of the unrevised Personal Information in our records for the duration necessary to comply with our obligations to our affiliates and partners, and for the purposes described below. If you would like to delete your Personal Information or permanently delete your account, you can do so on the settings page of your account in the Mobile Application.


 
Disclosure of information
 
Depending on the requested Services or as necessary to complete any transaction or provide any Service you have requested, we may share your information with our trusted subsidiaries and joint venture partners, contracted companies, and service providers (collectively, “Service Providers”) we rely upon to assist in the operation of the Mobile Application and Services available to you and whose privacy policies are consistent with ours or who agree to abide by our policies with respect to Personal Information. We will not share any information with unaffiliated third parties.
 
Service Providers are not authorized to use or disclose your information except as necessary to perform services on our behalf or comply with legal requirements. Service Providers are given the information they need only in order to perform their designated functions, and we do not authorize them to use or disclose any of the provided information for their own marketing or other purposes. We will share and disclose your information only with the following categories of Service Providers:
 
- Cloud computing services
- Data analytics services
- Data storage services
- Performance monitoring services
 
We may also disclose any Personal Information we collect, use or receive if required or permitted by law, such as to comply with a subpoena or similar legal process, and when we believe in good faith that disclosure is necessary to protect our rights, protect your safety or the safety of others, investigate fraud, or respond to a government request.


 
Retention of information
 
We will retain and use your Personal Information for the period necessary to comply with our legal obligations, as long as your user account remains active, until the purchase order or Services are fulfilled, to enforce our Policy, resolve disputes, and unless a longer retention period is required or permitted by law.
 
We may use any aggregated data derived from or incorporating your Personal Information after you update or delete it, but not in a manner that would identify you personally. Once the retention period expires, Personal Information shall be deleted. Therefore, the right to access, the right to erasure, the right to rectification, and the right to data portability cannot be enforced after the expiration of the retention period.


 
Transfer of information
 
Depending on your location, data transfers may involve transferring and storing your information in a country other than your own. However, this will not include countries outside the European Union and European Economic Area. If any such transfer takes place, you can find out more by checking the relevant sections of this Policy or inquire with us using the information provided in the contact section. Note that we are dedicated to ensuring the security of your personal data, adhering strictly to the guidelines outlined in our privacy notice and conforming to the applicable legal requirements.


 
Region specific notices
 
Out of respect for your privacy, we have implemented additional measures to comply with the obligations and rights associated with the collection of Personal Information as dictated by the laws governing the regions of our users.
 
- Disclosures for residents of Australia
 
If you are a resident of Australia, you have certain rights in relation to your Personal Information based on the Australian Privacy Act 1988 (“Privacy Act 1988”) that we comply with as part of our commitment to your privacy. This supplemental section, together with other relevant sections of the Policy, provides information about your rights and how to exercise them. Unless otherwise expressly stated, all terms in this section have the same meaning as defined in the Privacy Act 1988.
 
(a) Right to access and correct: You have the right to access Personal Information we hold about you. You also have the right to request corrections to your Personal Information if you think the information is inaccurate, out-of-date, incomplete, irrelevant or misleading.
 
(b) Right to restrict processing: You can request that we stop or restrict the processing of your Personal Information in certain circumstances, such as when you contest the accuracy of your data.
 
(c) Right to data portability: You have the right to request the transfer of your Personal Information to a different service provider as long as it is technically possible to do so or directly to you.
 
(d) Right to not be subject to automated decision-making: You have the right to opt out of decisions based solely on automated processing of your Personal Information, particularly when these decisions have legal or similarly significant effects on you.
 
(e) Right to anonymity: You are generally able to use a pseudonym or remain anonymous when interacting with us. However, in some circumstances, you may have to provide certain Personal Information. For example, we may require Personal Information to assess your eligibility for a program or service. We will inform you if you are not able to remain anonymous or use a pseudonym when dealing with us.
 
- Disclosures for residents of Brazil
 
If you are a resident of Brazil, you have certain rights in relation to your Personal Information based on the Brazilian General Data Protection Law (“LGPD”) that we comply with as part of our commitment to your privacy. This supplemental section, together with other relevant sections of the Policy, provides information about your rights and how to exercise them. Unless otherwise expressly stated, all terms in this section have the same meaning as defined in the LGPD.
 
(a) Right to know and access: You have the right to confirm whether we process your Personal Information and, if so, access it. This ensures you are fully informed about the data we hold and how it's used.
 
(b) Right to correct: You have the right to correct Personal Information if you find any of it in our possession to be incorrect or outdated as we are committed to maintaining the accuracy and relevance of your Personal Information.
 
(c) Right to anonymize and block: You can request the anonymization or blocking of Personal Information that is unnecessary, excessive, or not processed in compliance with the LGPD.
 
(d) Right to data portability: You have the right to transfer your data to another service provider or product supplier, promoting your freedom to choose services without losing your data history.
 
(e) Right to delete: If we have processed your data based on consent, you can request its deletion, except where law requires or permits us to retain it.
 
(f) Right to information about third parties: You can ask about the third parties with whom we share your data, ensuring transparency in our data sharing practices.
 
(g) Right to information on consent denial: You have the right to be informed about the consequences of not providing consent to make informed decisions about the use of your Personal Information.
 
(h) Right to withdraw consent: You can withdraw your consent for data processing at any time to ensure control over your Personal Information.
 
(i) Right to review automated decisions: You can request a review of decisions made solely based on automated processing of your data to ensure fairness and accuracy in processes that significantly impact you.
 
- Disclosures for residents of Canada
 
If you are a resident of Canada, you have certain rights in relation to your Personal Information based on the Personal Information Protection and Electronic Documents Act (“PIPEDA”) that we comply with as part of our commitment to your privacy. This supplemental section, together with other relevant sections of the Policy, provides information about your rights and how to exercise them. Unless otherwise expressly stated, all terms in this section have the same meaning as defined in the PIPEDA.
 
(a) Right to access: You have the right to access the Personal Information we hold about you if you wish to review, verify, or correct your information.
 
(b) Right to correct: We strive to maintain the accuracy of your Personal Information and will promptly make necessary corrections when you identify inaccuracies in your data.
 
(c) Right to withdraw consent: You can withdraw your consent regarding the handling of your Personal Information at any time, subject to legal or contractual limitations.
 
(d) Right to complain: You have the right to file a complaint with the Privacy Commissioner of Canada if you feel your Personal Information is being handled in a way that violates PIPEDA.
 
(e) Right to challenge compliance: You can challenge our compliance with PIPEDA, including how we handle your Personal Information, consent, access requests, and how we respond to your correction requests.
 
(f) Right to know about breaches: You have the right to be notified in cases of a security breach involving your Personal Information that poses a real risk of significant harm.
 
- Disclosures for residents of the EU/EEA and the UK
 
If you are a resident of the European Union (“EU”), the European Economic Area (“EEA”), or the United Kingdom (“UK”), you have certain rights in relation to your Personal Information based on the GDPR and the UK DPA that we comply with as part of our commitment to your privacy. Unless otherwise expressly stated, all terms in this section have the same meaning as defined in the GDPR and the UK DPA.
 
(a) Right to withdraw consent: You have the right to withdraw consent where you have previously given your consent to the processing of your Personal Information. To the extent that the legal basis for our processing of your Personal Information is consent, you have the right to withdraw that consent at any time. Withdrawal will not affect the lawfulness of processing before the withdrawal.
 
(b) Right to access: You have the right to learn if your Personal Information is being processed by us, obtain disclosure regarding certain aspects of the processing, and obtain a copy of your Personal Information undergoing processing.
 
(c) Right to rectification: You have the right to verify the accuracy of your information and ask for it to be updated or corrected. You also have the right to request us to complete the Personal Information you believe is incomplete.
 
(d) Right to object to the processing: You have the right to object to the processing of your information if the processing is carried out on a legal basis other than consent. Where Personal Information is processed for the public interest, in the exercise of an official authority vested in us, or for the purposes of the legitimate interests pursued by us, you may object to such processing by providing a ground related to your particular situation to justify the objection.
 
(e) Right to restrict processing: You have the right, under certain circumstances, to restrict the processing of your Personal Information. These circumstances include: the accuracy of your Personal Information is contested by you and we must verify its accuracy; the processing is unlawful, but you oppose the erasure of your Personal Information and request the restriction of its use instead; we no longer need your Personal Information for the purposes of processing, but you require it to establish, exercise or defend your legal claims; you have objected to processing pending the verification of whether our legitimate grounds override your legitimate grounds. Where processing has been restricted, such Personal Information will be marked accordingly and, with the exception of storage, will be processed only with your consent or for the establishment, to exercise or defense of legal claims, for the protection of the rights of another natural, or legal person or for reasons of important public interest.
 
(f) Right to delete: You have the right, under certain circumstances, to obtain the erasure of your Personal Information from us. These circumstances include: the Personal Information is no longer necessary in relation to the purposes for which it was collected or otherwise processed; you withdraw consent to consent-based processing; you object to the processing under certain rules of applicable data protection law; the processing is for direct marketing purposes; and the personal data have been unlawfully processed. However, there are exclusions of the right to erasure such as where processing is necessary: for exercising the right of freedom of expression and information; for compliance with a legal obligation; or for the establishment, to exercise or defense of legal claims.
 
(g) Right to data portability: You have the right to receive your Personal Information that you have provided to us in a structured, commonly used, and machine-readable format and, if technically feasible, to have it transmitted to another controller without any hindrance from us, provided that such transmission does not adversely affect the rights and freedoms of others.
 
(h) Right to complaint: You have the right to complain to a data protection authority about our collection and use of your Personal Information. If you are not satisfied with the outcome of your complaint directly with us, you have the right to lodge a complaint with your local data protection authority. For more information, please contact your local data protection authority in the EU or the EEA. This provision is applicable provided that your Personal Information is processed by automated means and that the processing is based on your consent, on a contract which you are part of, or on pre-contractual obligations thereof.
 
- Disclosures for residents of New Zealand
 
If you are a resident of New Zealand, you have certain rights in relation to your Personal Information based on the New Zealand’s Privacy Act 2020 (“Privacy Act 2020”) that we comply with as part of our commitment to your privacy. This supplemental section, together with other relevant sections of the Policy, provides information about your rights and how to exercise them. Unless otherwise expressly stated, all terms in this section have the same meaning as defined in the Privacy Act 2020.
 
(a) Right to Access: You have the right to access your Personal Information that we hold, enabling you to review and understand the data we have about you for transparency and accuracy.
 
(b) Right to Correction: If your Personal Information is incorrect or outdated, you have the right to request its correction, ensuring that the information we hold is accurate and up-to-date.
 
(c) Right to Make a Complaint: If you believe your privacy rights have been breached, you have the right to make a complaint to a data protection authority.
 
(d) Right to Object to Automated Decision-making: You can object to decisions made solely on automated processing of your Personal Information that have significant effects on you, ensuring a fair and transparent decision-making process.
 
(e) Right to Data Portability: Where applicable, you have the right to request the transfer of your Personal Information to another service provider if technically possible or directly to you.
 
(f) Right to Anonymity and Pseudonymity: Where possible, you have the option to interact with us without revealing your identity or by using a pseudonym, offering flexibility and control over your personal engagement.
 
(g) Notification of Data Breaches: In the event of a data breach that may harm your privacy, we will notify you promptly, taking immediate steps to mitigate any potential impacts.
 
- Disclosures for residents of the USA
 
If you are a resident of California, Colorado, Connecticut, Delaware, Iowa, Maryland, Utah, or Virginia, you have certain rights and we aim to take reasonable steps to allow you to correct, amend, delete, or limit the use of your Personal Information. This supplemental section, together with other relevant sections of the Policy, provides information about your rights and how to exercise them under the California Consumer Privacy Act and the California Privacy Rights Act (collectively, “CCPA”), the Colorado Privacy Act (“CPA”), the Connecticut Data Privacy Act (“CDPA”), the Delaware Online Privacy and Protection Act (“DOPPA”), the Iowa Consumer Data Protection Act (“ICDPA”), the Maryland Personal Information Protection Act (“PIPA”), the Utah Consumer Privacy Act (“UCPA”), the Virginia Consumer Data Protection Act (“VCDPA”), and any and all regulations arising therefrom. Unless otherwise expressly stated, all terms in this section have the same meaning as defined in the related state laws.
 
In addition to the rights as explained in this Policy, if you provide Personal Information as defined in the statute to obtain Services for personal, family, or household use, you have the right to submit requests related to your Personal Information once a calendar year. Note that there are circumstances when we may not be able to comply with your request such as when we are not able to verify your request or find that providing a full response conflicts with other legal obligations or regulatory requirements. You will be notified if it’s the case.
 
(a) Right to know and right to access: You have the right to request certain information we have collected about you. Once we receive and confirm a verifiable request from you, we will disclose to you, to the extent permitted by law:
 
- The specific pieces of Personal Information we hold about you.
- The categories of sources from which Information about you is collected.
- The purposes for collecting, selling, or sharing your Personal Information.
 
You have the right to request that the Personal Information is delivered in a format that is both portable and easily usable, as long as it is technically possible to do so.
 
(b) Right to correct: You have the right to request that we correct your inaccurate Personal Information taking into account the nature of the Personal Information and the purposes of the processing of the Personal Information.
 
(c) Right to delete: You have the right to request deletion of your Personal Information.
 
(d) Right to opt-out of the sale and sharing: You have the right to opt-out of the sale of your Personal Information which may include selling, disclosing, or transferring Personal Information to another business or a third party for monetary or other valuable consideration.
 
(e) Right to consent to or limit the use of your sensitive personal information: You have the right to consent to the use of your Sensitive Personal information and to direct us to restrict its use and disclosure solely to what is essential for carrying out or delivering the Services in a manner reasonably anticipated by an average user, or for certain business objectives as specified by law. However, we do not use Sensitive Personal Information for any purposes other than those legally permitted or beyond the scope of your consent.
 
(f) Right to non-discrimination: You have the right to not be discriminated against in the Services or quality of Services you receive from us for exercising your rights. We may not, and will not, treat you differently because of your data subject request activity, and we may not and will not deny goods or Services to you, charge different rates for goods or Services, provide a different level quality of goods or Services, or suggest that we would treat you differently because of your data subject request activity.
 
(g) Shine the Light: California residents that have an established business relationship with us have the right to know how their personal information is disclosed to third parties for their direct marketing purposes under California’s “Shine the Light” law, or the right to opt out of such practices.
 
To exercise any of your rights, simply contact us using the details below. After we receive and verify your request, we will process it to the extent possible within our capabilities.


 
How to exercise your rights
 
Any requests to exercise your rights can be directed to us through the contact details provided in this document. Please note that we may ask you to verify your identity before responding to such requests. Your request must provide sufficient information that allows us to verify that you are the person you are claiming to be or that you are the authorized representative of such person. If we receive your request from an authorized representative, we may request evidence that you have provided such an authorized representative with power of attorney or that the authorized representative otherwise has valid written authority to submit requests on your behalf.
 
You must include sufficient details to allow us to properly understand the request and respond to it. We cannot respond to your request or provide you with Personal Information unless we first verify your identity or authority to make such a request and confirm that the Personal Information relates to you.


 
Data analytics
 
Our Mobile Application and Services may use third-party analytics tools that use cookies, web beacons, or other similar information-gathering technologies to collect standard internet activity and usage information. The information gathered is used to compile statistical reports on User activity such as how often Users visit our Mobile Application and Services, what pages they visit and for how long, etc. We use the information obtained from these analytics tools to monitor the performance and improve our Mobile Application and Services. We do not use third-party analytics tools to track or to collect any personally identifiable information of our Users and we will not associate any information gathered from the statistical reports with any individual User.


 
Privacy of children
 
We do not knowingly collect any Personal Information from children under the age of 18. If you are under the age of 18, please do not submit any Personal Information through the Mobile Application and Services. If you have reason to believe that a child under the age of 18 has provided Personal Information to us through the Mobile Application and Services, please contact us to request that we delete that child’s Personal Information from our Services.
 
We encourage parents and legal guardians to monitor their children’s Internet usage and to help enforce this Policy by instructing their children never to provide Personal Information through the Mobile Application and Services without their permission. We also ask that all parents and legal guardians overseeing the care of children take the necessary precautions to ensure that their children are instructed to never give out Personal Information when online without their permission.


 
Do not sell my personal information
 
You have the right to choose not to have your Personal Information sold or disclosed by contacting us. Upon receiving and verifying your request, we will cease the sale and disclosure of your Personal Information. Be aware, however, that opting out of data transfers to our third parties might affect our ability to provide certain Services you have signed up for. We reserve the right to reject opt-out requests in certain situations as permitted by the CCPA, such as when the sale of Personal Information is required for us to fulfill legal or contractual duties.


 
Email marketing
 
We offer electronic newsletters to which you may voluntarily subscribe at any time. We are committed to keeping your email address confidential and will not disclose your email address to any third parties except as allowed in the information use and processing section or for the purposes of utilizing a third-party provider to send such emails. We will maintain the information sent via email in accordance with applicable laws and regulations.
 
In compliance with the CAN-SPAM Act, all emails sent from us will clearly state who the email is from and provide clear information on how to contact the sender. You may choose to stop receiving our newsletter or marketing emails by following the unsubscribe instructions included in these emails or by contacting us. However, you will continue to receive essential transactional emails.


 
Push notifications
 
We offer push notifications to which you may also voluntarily subscribe at any time. To make sure push notifications reach the correct devices, we use a third-party push notifications provider who relies on a device token unique to your device which is issued by the operating system of your device. While it is possible to access a list of device tokens, they will not reveal your identity, your unique device ID, or your contact information to us or our third-party push notifications provider. We will maintain the information sent via email in accordance with applicable laws and regulations. If, at any time, you wish to stop receiving push notifications, simply adjust your device settings accordingly.


 
Affiliate links
 
We may engage in affiliate marketing and have affiliate links present on the Mobile Application and Services for the purpose of being able to offer you related or additional products and services. If you click on an affiliate link, a cookie will be placed on your browser to track any sales for purposes of commissions.


 
Links to other resources
 
The Mobile Application and Services contain links to other resources that are not owned or controlled by us. Please be aware that we are not responsible for the privacy practices of such other resources or third parties. We encourage you to be aware when you leave the Mobile Application and Services and to read the privacy statements of each and every resource that may collect Personal Information.
 
Information security
 
We secure information you provide on computer servers in a controlled, secure environment, protected from unauthorized access, use, or disclosure. We maintain reasonable administrative, technical, and physical safeguards in an effort to protect against unauthorized access, use, modification, and disclosure of Personal Information in our control and custody. However, no data transmission over the Internet or wireless network can be guaranteed.
 
Therefore, while we strive to protect your Personal Information, you acknowledge that (a) there are security and privacy limitations of the Internet which are beyond our control; (b) the security, integrity, and privacy of any and all information and data exchanged between you and the Mobile Application and Services cannot be guaranteed; and (c) any such information and data may be viewed or tampered with in transit by a third party, despite best efforts.
 
As the security of Personal Information depends in part on the security of the device you use to communicate with us and the security you use to protect your credentials, please take appropriate measures to protect this information.


 
Data breach
 
In the event we become aware that the security of the Mobile Application and Services has been compromised or Users’ Personal Information has been disclosed to unrelated third parties as a result of external activity, including, but not limited to, security attacks or fraud, we reserve the right to take reasonably appropriate measures, including, but not limited to, investigation and reporting, as well as notification to and cooperation with law enforcement authorities. In the event of a data breach, we will make reasonable efforts to notify affected individuals if we believe that there is a reasonable risk of harm to the User as a result of the breach or if notice is otherwise required by law. When we do, we will post a notice in the Mobile Application, send you an email.


 
Changes and amendments
 
We reserve the right to modify this Policy or its terms related to the Mobile Application and Services at any time at our discretion. When we do, we will revise the updated date at the bottom of this page. We may also provide notice to you in other ways at our discretion, such as through the contact information you have provided.
 
An updated version of this Policy will be effective immediately upon the posting of the revised Policy unless otherwise specified. Your continued use of the Mobile Application and Services after the effective date of the revised Policy (or such other act specified at that time) will constitute your consent to those changes. SOFTWARE LICENSE AGREEMENT FOR END USERS

NOTICE TO USER: PLEASE READ THIS AGREEMENT CAREFULLY. BY USING ALL OR ANY PORTION OF THE SOFTWARE, YOU ACCEPT ALL OF THE TERMS AND CONDITIONS OF THIS AGREEMENT, INCLUDING, WITHOUT LIMITATION, THE LIMITATIONS ON: USE IN SECTION 2; TRANSFERABILITY IN SECTION 4; WARRANTY IN SECTIONS 6 AND 7; AND LIABILITY IN SECTION 8. YOU AGREE THAT THIS AGREEMENT IS ENFORCEABLE LIKE ANY WRITTEN AGREEMENT SIGNED BY YOU. IF YOU DO NOT AGREE, DO NOT USE THIS SOFTWARE. IF YOU PURCHASED THE SOFTWARE ON TANGIBLE MEDIUM (e.g. CD) WITHOUT HAVING THE OPPORTUNITY TO REVIEW THIS LICENSE AND YOU DO NOT ACCEPT THIS AGREEMENT, YOU MAY RECEIVE A REFUND OF THE AMOUNT ORIGINALLY PAID IF YOU: (A) DO NOT USE THE SOFTWARE AND (B) RETURN IT TO THE PLACE FROM WHICH IT WAS OBTAINED WITH PROOF OF PAYMENT WITHIN THIRTY (30) DAYS OF THE DATE OF PURCHASE.


1.    DEFINITIONS

In this Agreement, the following terms shall have the meanings given to them, which shall apply both to the singular and to the plural of the defined terms: 

"Licensor" means viscan GmbH, whose main address is Stauffenbergstraße 18, 74523 Schwäbisch Hall, Germany.

"Software" means (a) the entire contents of the files, disks or other media with which this Agreement is provided, including but not limited to (i) viscan GmbH or third party computer information or software; (ii) digital images, stock photos, clip art, movies, sounds or other artistic works ("Stock Files"); (iii) related explanatory written materials or files ("Documentation"); and (iv) fonts; and (b) upgrades, modified versions, updates, supplements and copies of the web-based software (Application), if any, licensed to you by viscan GmbH (collectively, "Updates"). 

"Use" means to access, install, download, copy or otherwise benefit from the functions of the Software in accordance with the Documentation. 

"Licensee" means you or your company, unless otherwise specified.

"Permitted Number" means one (1), unless otherwise specified, under a valid license (e.g. volume license) granted by viscan GmbH.

"Computer or terminal" is an electronic device that receives information in digital or similar form and processes it for a specific result based on a sequence of instructions. This also includes smartphones or tablets.


2.    SOFTWARE LICENSE

As long as you comply with the terms of this End User License Agreement (the "Agreement"), viscan GmbH grants you a non-exclusive license to use the Software for the purposes described in the Documentation. Some third-party content included in the Software may be subject to other terms and conditions, which can usually be found on the third-party provider's site. The software is only licensed if the license fees due for the software have been paid in full.

 

2.1    General use

You can install and use web-based software on your compatible computer, end device, tablet or smartphone up to your personalized ID (e-mail address). You are able to use the software wherever you are. You need the rights to open our app (https://apps.apple.com/de/app/scin-3d-scanning/id6499470864), you need a high-quality internet connection and use our supported iOS systems. You are responsible for correct use. In the event of incorrect use, you may be held liable.

 

2.2    License fees

License fees are generally due for the use of the app in connection with an RTK device and/or when the app is connected to a third-party platform. The license is always tied to a piece of hardware and cannot be transferred. Use of the app without an RTK or platform connection is free of charge. Support is not included.


2.3    Backup copy

You are entitled to make a backup copy of your data, provided that your backup copy is not installed or used on a computer. You may not transfer the rights to a backup copy unless you transfer all rights to the Software as provided in Section 6. YOU MAY NOT MAKE A BACKUP COPY OF THE SOFTWARE OR CODE OR TRANSFER IT TO A THIRD PARTY.


2.4    Inventory files

Unless otherwise specified in the data associated with the asset files, which may contain specific rights and restrictions relating to these materials, you may view, modify, copy and distribute the asset files contained in the software. However, you may not distribute the asset files individually, i.e. not in cases where the asset files are the primary value of the product being distributed. Stock files may not be used to create libelous, defamatory, fraudulent, lewd, obscene or pornographic material or material that infringes the intellectual property rights of others or is otherwise illegal. You may not claim any trademark rights in the Stock Files or derivative works thereof.


2.5    Restrictions

To the extent viscan GmbH's software includes the scin software, (i) you may customize the installer for such software in accordance with the restrictions found on viscan.de (e.g., (ii) such software is licensed and distributed by viscan GmbH, and (iii) you are not permitted to use plug-ins or extensions that allow you to save changes to a file using such software; however, such use is permitted for viscan GmbH, scin app and other current and future viscan GmbH products. Information on distributing the scin app can be found in the sections entitled "How to Distribute scin-App".   


2.6    Collection of personal data

Our software collects information about your location and your online times. Click tracking is intended to be permanent. Only project administrators have access to this information in the event of a legal dispute or to prevent such a dispute. The data about your activities that are visible to everyone are immediately displayed in the software, in particular Bluetooth connections, access to files and images, and location data. Personalized identification takes place exclusively via the SN hardware or via third-party platforms to be connected.


3.    INTELLECTUAL PROPERTY RIGHTS

The software and all copies that viscan GmbH has authorized you to make in writing are the intellectual property of viscan GmbH and its suppliers. The structure, organization and code of the Software are valuable trade secrets and confidential information of viscan GmbH and its suppliers. The software is protected by copyright, in particular by the Copyright Act of the Federal Republic of Germany, by international treaties and by the applicable laws of the country in which it is used. You may not copy the Software except as set forth in Section 2 ("Software License"). 

Any copies you may make under this Agreement must contain the same copyright and other proprietary notices that appear on or in the Software. You further agree not to reverse engineer, decompile, disassemble or otherwise attempt to discover the source code of the Software, unless you are expressly permitted to decompile the Software under applicable law, it is essential to do so in order to achieve operability of the Software with another software program, and you have previously requested viscan GmbH to provide the information necessary to achieve such operability and viscan GmbH has not provided such information. 

viscan GmbH shall have the right to impose reasonable conditions and charge a reasonable fee before such information is made available. Any information provided by viscan GmbH or obtained by you may be used by you only for the purpose described herein and may not be disclosed to third parties or used to create software that is substantially similar to the expression of the Software. Requests for information should be directed to viscan's customer service department. Trademarks must be used in accordance with accepted trademark practice, including the names of trademark owners. Trademarks may only be used to identify printed materials created using the Software, and such use of a trademark does not grant you any ownership rights in that trademark. Except as set forth above, this Agreement does not grant you any intellectual property rights in the Software.


4.    TRANSMISSION

You may not rent, lease, sublicense or authorize the Software to be copied in whole or in part to another user's computer except as expressly permitted herein. However, you may transfer all of your rights to use the Software to another person or entity, provided that: (a) you also transfer this Agreement, the Software and any other software or hardware bundled or pre-installed with the Software, including all copies, updates and prior versions, and all copies of font software converted to other formats, to such person or entity; (b) you retain no copies, including backup copies and copies stored on a computer or smartphone/tablet; and (c) the receiving party accepts the terms of this Agreement and any other terms on which you have lawfully obtained a license to the Software. Notwithstanding the foregoing, you may not transfer educational, pre-release or non-resale copies of the Software.


5.    SOFTWARE FOR MULTIPLE ENVIRONMENTS / SOFTWARE FOR MULTIPLE LANGUAGES / SOFTWARE FOR TWO MEDIA / MULTIPLE COPIES/BUNDLES / UPDATES

If the Software supports multiple platforms or languages, if you receive the Software on multiple media, if you otherwise receive multiple copies of the Software, or if you have received the Software together with other software, the total number of your computers on which all versions of the Software are installed may not exceed the permitted number. You may not rent, lease, sublicense, lend or transfer versions or copies of the Software that you do not use. If the Software is an update to an earlier version of the Software, you must have a valid license for that earlier version in order to use the update. You may continue to use the earlier version of the Software on your terminal device after you have received the Update to facilitate your transition to the Update, provided that: the Update and the earlier version are installed on the same computer; the earlier version or copies thereof are not transferred to another party or computer unless all copies of the Update are also transferred to that party or computer; and you acknowledge that any obligation of viscan GmbH to support the earlier version of the Software ends with the availability of the Update.


6.    NO WARRANTY

The Software is provided to you "as is" and viscan GmbH makes no warranty as to the use or performance of the Software. VISCAN GMBH AND ITS SUPPLIERS MAKE NO WARRANTY AS TO THE PERFORMANCE OR RESULTS THAT YOU MAY OBTAIN FROM THE USE OF THE SOFTWARE. EXCEPT FOR ANY WARRANTIES, CONDITIONS, REPRESENTATIONS OR TERMS THAT CANNOT BE EXCLUDED OR LIMITED UNDER THE LAWS APPLICABLE TO YOU IN YOUR JURISDICTION, VISCAN GMBH AND ITS SUPPLIERS MAKE NO WARRANTIES, CONDITIONS, REPRESENTATIONS OR TERMS (EXPRESS OR IMPLIED, WHETHER BY STATUTE, COMMON LAW, CUSTOM, USAGE OR OTHERWISE) WITH RESPECT TO ANY MATTER WHATSOEVER, INCLUDING WITHOUT LIMITATION NON-INFRINGEMENT OF THIRD PARTY RIGHTS, MERCHANTABILITY, INTEGRATION, SATISFACTORY QUALITY OR FITNESS FOR A PARTICULAR PURPOSE.


7.    PRE-RELEASE PRODUCT ADDITIONAL CONDITIONS

If the product you received with this license is pre-release or beta software ("Pre-Release Software"), the following section applies. To the extent that any provision of this section conflicts with any other term or condition of this Agreement, this section shall prevail over the other terms and conditions relating to the Pre-Release Software, but only to the extent necessary to resolve the conflict. You acknowledge that the Software is a pre-release version and is not the final viscan Gmbh product and may contain bugs, errors and other problems that may result in system or other failures and loss of data. Consequently, the pre-release version of the software is provided to you "as is" and viscan GmbH disclaims any warranty or liability obligations to you. IN THOSE CASES WHERE LIABILITY FOR PRE-RELEASE SOFTWARE CANNOT BE LEGALLY EXCLUDED BUT CAN BE LIMITED, THE LIABILITY OF [YOUR COMPANY NAME] AND ITS SUPPLIERS IS LIMITED TO A TOTAL OF FIFTY DOLLARS (U.S. $50). You acknowledge that [YOUR COMPANY NAME] has not promised or guaranteed to you that pre-release versions of the Software will be announced or made available in the future, that [YOUR COMPANY NAME] has no express or implied obligation to you to announce or introduce the pre-release versions of the Software, and that [YOUR COMPANY NAME] may not introduce a product that is similar to or compatible with the pre-release Software. Accordingly, you acknowledge that any research or development you conduct with respect to the Pre-release Software or any product related to the Pre-release Software is solely at your own risk. During the term of this Agreement, if requested by [NAME OF YOUR COMPANY] [NAME OF YOUR COMPANY], you will provide feedback on the testing and use of the Pre-release Software, including error or bug reports. If you have received the pre-release version of the Software pursuant to a separate written agreement, such as the [NAME OF YOUR COMPANY] Serial Agreement for unreleased products, your use of the Software is also subject to this Agreement. You agree that you may not, and acknowledge that you will not, sublicense, lease, lend, rent or transfer the pre-release version of the Software. Upon receipt of a later, unreleased version of the Pre-release Software or the release of a publicly released commercial version of the Software by [YOUR COMPANY'S NAME], whether as a stand-alone product or as part of a larger product, you agree to return or destroy any earlier Pre-release Software you have received from [YOUR COMPANY'S NAME] and to abide by the terms of the End User License Agreement for such later versions of the Pre-release Software. Notwithstanding anything to the contrary in this section, if you are located outside the United States of America or Canada, you agree to return or destroy all unreleased versions of the pre-release versions of the Software within thirty (30) days of the completion of your testing of the Software, if that date is prior to the date of the first commercial shipment of the publicly released (commercial) Software by [YOUR COMPANY NAME].


8.    LIMITATION OF LIABILITY

IN NO EVENT SHALL VISCAN GMBH OR ITS SUPPLIERS BE LIABLE TO YOU FOR ANY DAMAGES, CLAIMS OR COSTS OR FOR ANY CONSEQUENTIAL, INDIRECT, INCIDENTAL OR PUNITIVE DAMAGES OR LOST PROFITS OR SAVINGS, EVEN IF A REPRESENTATIVE OF VISCAN GMBH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSSES, DAMAGES, CLAIMS OR COSTS OR FOR ANY THIRD PARTY CLAIMS. IN PARTICULAR, VISCAN GMBH SHALL NOT BE LIABLE FOR ANY LOSS OF DATA DUE TO UPDATES TO THE SOFTWARE. THE FOREGOING LIMITATIONS AND EXCLUSIONS SHALL APPLY TO THE EXTENT PERMITTED BY THE LAWS OF YOUR JURISDICTION. THE AGGREGATE LIABILITY OF VISCAN GMBH AND ITS SUPPLIERS UNDER OR IN CONNECTION WITH THIS AGREEMENT SHALL BE LIMITED TO THE AMOUNT PAID FOR THE SOFTWARE, IF ANY. Nothing in this Agreement limits viscan GmbH's liability to you in the event of death or personal injury caused by its negligence or for the tort of deceit (fraud). Viscan GMBH is acting on behalf of its suppliers for the purpose of excluding and/or limiting obligations, warranties and liability as provided in this Agreement, but in no other respect and for no other purpose. For more information, please refer to the court-specific information at the end of this agreement or contact viscan GmbH's Support department.


9.    EXPORT REGULATIONS (FOR AMERICAN COMPANIES)

You agree not to use, transfer or export the Software to any country or use it in any manner prohibited by the United States Export Administration Act or any other export laws, restrictions or regulations (collectively, , the "Export Laws"). If the Software is labeled as an Export Controlled Item under the Export Laws, you further represent and warrant that you are not a national of or otherwise located in an embargoed country (including, but not limited to, Iran, Iraq, Syria, Sudan, Libya, Cuba, North Korea and Serbia) and that you are not otherwise prohibited from receiving the Software under the Export Laws. All rights to use the Software are granted on the condition that such rights are forfeited if you fail to comply with the terms of this Agreement.


10.    APPLICABLE LAW

This Agreement shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, venue Schwäbisch Hall.


11.    GENERAL PROVISIONS

If any part of this Agreement is found to be void and unenforceable, this shall not affect the validity of the remaining part of the Agreement, which shall remain valid and enforceable in accordance with its terms. This Agreement shall not affect the statutory rights of any party acting as a consumer. This Agreement may only be amended by a writing signed by an authorized representative of viscan GmbH. Updates may be licensed to you by viscan GmbH with additional or different terms. This is the entire agreement between. Viscan GmbH and you with respect to the Software, and it supersedes all prior representations, discussions, promises, communications or advertising with respect to the Software.


12.    NOTICE TO US GOVERNMENT END USERS

The Software and Documentation are "Commercial Items," as that term is defined in 48 C.F.R. §2.101, consisting of "Commercial Computer Software" and "Commercial Computer Software Documentation," as those terms are used in 48 C.F.R. §12.212 and 48 C.F.R. §227.7202, respectively. Consistent with 48 C.F.R. §12.212 and 48 C.F.R. §§227.7202-1 through 227.7202-4, respectively, the Commercial Computer Software and Commercial Computer Software Documentation are licensed to U.S. Government end users (a) only as Commercial Items and (b) only with the rights granted to all other end users under the terms and conditions contained herein. Unpublished rights are reserved under the copyright laws of the United States. For U.S. Government end users, viscan GmbH] agrees to comply with all applicable equal opportunity laws, including, if applicable, the provisions of Executive Order 11246, as amended, Section 402 of the Vietnam Era Veterans Readjustment Assistance Act of 1974 (38 USC 4212) and Section 503 of the Rehabilitation Act of 1973, as amended, and the regulations at 41 CFR Parts 60-1 through 60-60, 60-250, and 60-741. The affirmative action clause and regulations contained in the preceding sentence are incorporated by reference into this Agreement.


13.    COMPLIANCE WITH LICENSES

If you are a company or organization, you agree that upon request by viscan GmbH or an authorized representative/partner of viscan GmbH, you will fully document and confirm within thirty (30) days that the use of any viscan GmbH software at the time of the request is in accordance with your valid viscan GmbH licenses.

1.    DEFINITIONEN

"Software" bezeichnet (a) den gesamten Inhalt der Dateien, Datenträger oder anderen Medien, mit denen dieser Vertrag bereitgestellt wird, einschließlich, aber nicht beschränkt auf (i) viscan GmbH oder Computerinformationen oder Software von Dritten; (ii) digitale Bilder, Archivfotos, Clip-Art, Filme, Töne oder andere künstlerische Werke ("Archivdateien"); (iii) zugehörige erläuternde schriftliche Materialien oder Dateien ("Dokumentation"); und (iv) Schriftarten; und (b) Upgrades, modifizierte Versionen, Updates, Ergänzungen und Kopien der webbasierten Software (Applikation), falls vorhanden, die Ihnen von viscan GmbH lizenziert wurden (zusammenfassend "Updates"). 

"Benutzen" bedeutet, auf die Software zuzugreifen, sie zu installieren, herunterzuladen, zu kopieren oder anderweitig von den Funktionen der Software in Übereinstimmung mit der Dokumentation zu profitieren. 

"Lizenznehmer" bedeutet Sie oder Ihr Unternehmen, sofern nicht anders angegeben.

"Zulässige Anzahl" bedeutet eine (1), sofern nicht anders angegeben, im Rahmen einer gültigen Lizenz (z. B. Volumenlizenz), die von viscan GmbH erteilt wurde.

"Computer oder Endgerät" ist ein elektronisches Gerät, das Informationen in digitaler oder ähnlicher Form entgegennimmt und sie für ein bestimmtes Ergebnis auf der Grundlage einer Abfolge von Anweisungen bearbeitet. Es handelt sich dabei auch um Smartphones oder Tablets.


2.    SOFTWARE-LIZENZ

Solange Sie die Bedingungen dieses Endbenutzer-Lizenzvertrags (der "Vertrag") einhalten, gewährt Ihnen die viscan GmbH eine nicht-exklusive Lizenz zur Nutzung der Software für die in der Dokumentation beschriebenen Zwecke. Einige in der Software enthaltene Inhalte von Drittanbietern können anderen Bedingungen unterliegen, die in der Regel auf der Seite des Drittanbieters zu finden sind. Die Software ist nur dann lizensiert, wenn die für die Software fälligen Lizenzgebühren vollständig bezahlt sind. 

 

2.1    Allgemeine Verwendung

Sie können eine webbasierte Software auf Ihrem kompatiblen Computer, Endgerät, Tablet oder Smartphone bis zu Ihrer personalisierten ID (E-Mail-Adresse) installieren und nutzen. Sie sind in der Lage, die Software zu nutzen, wo immer Sie sich befinden. Sie benötigen die Rechte, um unsere App (https://apps.apple.com/de/app/scin-3d-scanning/id6499470864) zu öffnen, Sie benötigen eine qualitativ hochwertige Internetverbindung und verwenden unsere unterstützten iOS-Systeme. Sie sind für die korrekte Nutzung verantwortlich. Im Falle einer fehlerhaften Nutzung können Sie haftbar gemacht werden.

 

2.2    Lizenzgebühren

Lizenzgebühren werden generell für die Nutzung der App in Verbindung mit einem RTK-Gerät und/oder bei Anbindung der App an eine Drittplattform fällig. Die Lizenz ist immer an eine Hardware gebunden und kann nicht übertragen werden. Die Nutzung der App ohne RTK- oder Plattformanbindung ist kostenfrei. Support ist nicht enthalten. 


2.3    Sicherungskopie

Sie sind berechtigt, eine Sicherungskopie ihrer Daten zu erstellen, vorausgesetzt, Ihre Sicherungskopie wird nicht auf einem Computer installiert oder verwendet. Sie dürfen die Rechte an einer Sicherungskopie nicht übertragen, es sei denn, Sie übertragen alle Rechte an der Software wie in Abschnitt 6 vorgesehen. ES IST IHNEN NICHT GESTATTET EINE SICHERUNGSKOPIE DER SOFTWARE ODER DES CODES ANZUFERTIGEN ODER AN DRITTE WEITERZUGEBEN.


2.4    Bestandsdateien

Sofern in den mit den Bestandsdateien verbundenen Daten, die spezifische Rechte und Beschränkungen in Bezug auf diese Materialien enthalten können, nichts anderes angegeben ist, dürfen Sie die in der Software enthaltenen Bestandsdateien anzeigen, ändern, vervielfältigen und weitergeben. Sie dürfen die Bestandsdateien jedoch nicht einzeln weitergeben, d. h. nicht in Fällen, in denen die Bestandsdateien den Hauptwert des zu verteilenden Produkts darstellen. Bestandsdateien dürfen nicht zur Herstellung von verleumderischem, diffamierendem, betrügerischem, unzüchtigem, obszönem oder pornografischem Material oder von Material verwendet werden, das die Rechte am geistigen Eigentum Dritter verletzt oder in sonstiger Weise illegal ist. Sie können keine Markenrechte an den Stock Files oder davon abgeleiteten Werken beanspruchen.


2.5    Beschränkungen

Soweit die Software von viscan GmbH die scin-Software enthält, (i) dürfen Sie das Installationsprogramm für diese Software in Übereinstimmung mit den auf viscan.de zu findenden Einschränkungen anpassen (z. B., (ii) diese Software wird von der viscan GmbH lizenziert und vertrieben, und (iii) Sie sind nicht berechtigt, Plug-Ins oder Erweiterungen zu verwenden, die es Ihnen ermöglichen, mit dieser Software Änderungen in einer Datei zu speichern; eine solche Verwendung ist jedoch für die viscan GmbH, scin-App und andere aktuelle und zukünftige Produkte von viscan GmbH gestattet. Informationen zur Weitergabe der scin App finden Sie in den Abschnitten mit dem Titel "How to Distribute scin-App“.  


2.6    Erhebung von personenbezogenen Daten

Unsere Software sammelt Informationen über Ihren Standort und Ihre Online-Zeiten. Das Click-Tracking ist permanent vorgesehen. Nur Projektadministratoren haben im Falle eines Rechtsstreits oder zur Vorbeugung eines solchen Zugriff auf diese Informationen. Die Daten über Ihre Aktivitäten, die für alle sichtbar sind, werden sofort in der Software angezeigt, es handelt sich dabei im speziellen um Bluetooth-Verbindungen, Zugriffe auf Dateien und Bilder, sowie Positionsdaten. Ein personifizierte Identifizierung erfolgt ausschließlich über die Hardware SN oder über anzubindende Drittplattformen.


3.    RECHTE AN GEISTIGEM EIGENTUM

Die Software und alle Kopien, zu deren Anfertigung Sie von viscan GmbH schriftlich ermächtigt wurden, sind geistiges Eigentum von der viscan GmbH und seinen Lieferanten. Die Struktur, die Organisation und der Code der Software sind wertvolle Geschäftsgeheimnisse und vertrauliche Informationen von der viscan GmbH und seinen Lieferanten. Die Software ist urheberrechtlich geschützt, insbesondere durch das Urheberrechtsgesetz der Bundes Republik Deutschland, durch internationale Verträge und die geltenden Gesetze des Landes, in dem sie verwendet wird. Sie dürfen die Software nicht kopieren, außer wie in Abschnitt 2 ("Softwarelizenz") dargelegt. 

Alle Kopien, die Sie gemäß dieser Vereinbarung anfertigen dürfen, müssen dieselben Urheberrechts- und sonstigen Eigentumshinweise enthalten, die auf oder in der Software erscheinen. Sie erklären sich ferner damit einverstanden, die Software nicht zurückzuentwickeln, zu dekompilieren, zu disassemblieren oder anderweitig zu versuchen, den Quellcode der Software zu ermitteln, es sei denn, es ist Ihnen nach geltendem Recht ausdrücklich gestattet, die Software zu dekompilieren, es ist unerlässlich, dies zu tun, um die Funktionsfähigkeit der Software mit einem anderen Softwareprogramm zu erreichen, und Sie haben der viscan GmbH zuvor aufgefordert, die zur Erreichung dieser Funktionsfähigkeit erforderlichen Informationen bereitzustellen, und die viscan GmbH hat diese Informationen nicht zur Verfügung gestellt. 

Die viscan GmbH hat das Recht, angemessene Bedingungen zu stellen und eine angemessene Gebühr zu verlangen, bevor solche Informationen zur Verfügung gestellt werden. Alle von der viscan GmbH zur Verfügung gestellten oder von Ihnen erhaltenen Informationen dürfen von Ihnen nur für den hierin beschriebenen Zweck verwendet werden und dürfen nicht an Dritte weitergegeben oder zur Erstellung von Software verwendet werden, die dem Ausdruck der Software im Wesentlichen ähnlich ist. Informationsanfragen sollten an die Kundendienstabteilung von viscan gerichtet werden. Marken müssen in Übereinstimmung mit der anerkannten Markenpraxis verwendet werden, einschließlich der Angabe der Namen der Markeninhaber. Marken dürfen nur zur Kennzeichnung von Druckerzeugnissen verwendet werden, die mit der Software erstellt wurden, und eine solche Verwendung einer Marke verleiht Ihnen keine Eigentumsrechte an dieser Marke. Mit Ausnahme der oben genannten Ausnahmen gewährt Ihnen dieser Vertrag keine geistigen Eigentumsrechte an der Software.


4.    ÜBERTRAGUNG

Sie dürfen die Software nicht vermieten, verleasen, unterlizenzieren oder genehmigen, dass die Software ganz oder teilweise auf den Computer eines anderen Benutzers kopiert wird, es sei denn, dies ist hier ausdrücklich gestattet. Sie dürfen jedoch alle Ihre Rechte zur Nutzung der Software an eine andere natürliche oder juristische Person übertragen, vorausgesetzt, dass: (a) Sie übertragen auch diesen Vertrag, die Software und alle andere Software oder Hardware, die mit der Software gebündelt oder vorinstalliert ist, einschließlich aller Kopien, Updates und früherer Versionen sowie aller Kopien von in andere Formate konvertierter Schriftensoftware an diese natürliche oder juristische Person; (b) Sie behalten keine Kopien, einschließlich Sicherungskopien und auf einem Computer oder Smartphone/Tablet gespeicherter Kopien; und (c) die empfangende Partei akzeptiert die Bedingungen dieses Vertrags und alle anderen Bedingungen, zu denen Sie rechtmäßig eine Lizenz für die Software erworben haben. Ungeachtet des Vorstehenden dürfen Sie keine Ausbildungs-, Vorab- oder nicht zum Weiterverkauf bestimmte Kopien der Software übertragen.


5.    SOFTWARE FÜR MEHRERE UMGEBUNGEN / SOFTWARE FÜR MEHRERE SPRACHEN / SOFTWARE FÜR ZWEI MEDIEN / MEHRERE KOPIEN/BÜNDEL / UPDATES

Wenn die Software mehrere Plattformen oder Sprachen unterstützt, wenn Sie die Software auf mehreren Medien erhalten, wenn Sie anderweitig mehrere Kopien der Software erhalten oder wenn Sie die Software zusammen mit anderer Software erhalten haben, darf die Gesamtzahl Ihrer Computer, auf denen alle Versionen der Software installiert sind, die zulässige Anzahl nicht überschreiten. Sie dürfen keine Versionen oder Kopien der Software, die Sie nicht nutzen, vermieten, verleasen, unterlizenzieren, verleihen oder übertragen. Handelt es sich bei der Software um ein Update für eine frühere Version der Software, müssen Sie eine gültige Lizenz für diese frühere Version besitzen, um das Update nutzen zu können. Sie dürfen die frühere Version der Software auf Ihrem Endgerät weiter verwenden, nachdem Sie das Update erhalten haben, um Ihnen den Übergang zum Update zu erleichtern, vorausgesetzt, dass: das Update und die frühere Version auf demselben Computer installiert sind; die frühere Version oder Kopien davon nicht auf eine andere Partei oder einen anderen Computer übertragen werden, es sei denn, alle Kopien des Updates werden ebenfalls auf diese Partei oder diesen Computer übertragen; und Sie erkennen an, dass jegliche Verpflichtung von der viscan GmbH, die frühere Version der Software zu unterstützen, mit der Verfügbarkeit des Updates endet. 


6.    KEINE GARANTIE

Die Software wird Ihnen so geliefert, wie sie ist, und die viscan GmbH übernimmt keine Garantie für die Nutzung oder Leistung der Software. DIE VISCAN GMBH UND SEINE ZULIEFERER ÜBERNEHMEN KEINE GARANTIE FÜR DIE LEISTUNG ODER DIE ERGEBNISSE, DIE SIE DURCH DIE VERWENDUNG DER SOFTWARE ERZIELEN KÖNNEN. MIT AUSNAHME JEGLICHER GARANTIEN, BEDINGUNGEN, ZUSICHERUNGEN ODER KLAUSELN, DIE NACH DEM FÜR SIE IN IHRER RECHTSORDNUNG GELTENDEN RECHT NICHT AUSGESCHLOSSEN ODER EINGESCHRÄNKT WERDEN KÖNNEN, ÜBERNEHMEN DIE VISCAN GMBH UND SEINE LIEFERANTEN KEINE GARANTIEN, BEDINGUNGEN, ZUSICHERUNGEN ODER KLAUSELN (WEDER AUSDRÜCKLICH NOCH STILLSCHWEIGEND, OB DURCH GESETZ, GEWOHNHEITSRECHT, GEWOHNHEITSRECHT, GEBRAUCH ODER ANDERWEITIG) IN BEZUG AUF JEGLICHE ANGELEGENHEIT, EINSCHLIESSLICH UND OHNE EINSCHRÄNKUNG DER NICHTVERLETZUNG VON RECHTEN DRITTER, HANDELSÜBLICHKEIT, INTEGRATION, ZUFRIEDENSTELLENDE QUALITÄT ODER EIGNUNG FÜR EINEN BESTIMMTEN ZWECK. 


7.    VORABVERSION PRODUKT ZUSATZBEDINGUNGEN

Wenn es sich bei dem Produkt, das Sie mit dieser Lizenz erhalten haben, um eine Vorabversion oder Beta-Software ("Vorabversion") handelt, gilt der folgende Abschnitt. Soweit eine Bestimmung dieses Abschnitts im Widerspruch zu einer anderen Bestimmung oder Bedingung dieses Vertrags steht, hat dieser Abschnitt Vorrang vor den anderen Bestimmungen und Bedingungen in Bezug auf die Pre-Release-Software, jedoch nur in dem Umfang, der zur Lösung des Konflikts erforderlich ist. Sie erkennen an, dass es sich bei der Software um eine Vorabversion handelt, die nicht das endgültige Produkt von der viscan Gmbh darstellt und Bugs, Fehler und andere Probleme enthalten kann, die zu System- oder anderen Fehlern und Datenverlust führen können. Folglich wird Ihnen die Vorabversion der Software ohne Mängelgewähr zur Verfügung gestellt, und die viscan GmbH lehnt jegliche Garantie- oder Haftungsverpflichtungen Ihnen gegenüber ab. IN DEN FÄLLEN, IN DENEN DIE HAFTUNG FÜR VORVERÖFFENTLICHTE SOFTWARE RECHTLICH NICHT AUSGESCHLOSSEN WERDEN KANN, JEDOCH EINGESCHRÄNKT WERDEN KANN, IST DIE HAFTUNG VON [IHR FIRMENNAME] UND SEINER LIEFERANTEN AUF EINEN BETRAG VON INSGESAMT FÜNFZIG DOLLAR (U.S. $50) BESCHRÄNKT. Sie erkennen an, dass [NAME IHRES UNTERNEHMENS] Ihnen nicht versprochen oder garantiert hat, dass Vorabversionen der Software in Zukunft angekündigt oder zur Verfügung gestellt werden, dass [NAME IHRES UNTERNEHMENS] Ihnen gegenüber keine ausdrückliche oder stillschweigende Verpflichtung hat, die Vorabversionen der Software anzukündigen oder einzuführen, und dass [NAME IHRES UNTERNEHMENS] möglicherweise kein Produkt einführt, das der Vorabversionssoftware ähnlich oder mit ihr kompatibel ist. Dementsprechend erkennen Sie an, dass jegliche Forschung oder Entwicklung, die Sie in Bezug auf die Vorabversionssoftware oder ein mit der Vorabversionssoftware verbundenes Produkt durchführen, ausschließlich auf Ihr eigenes Risiko erfolgt. Während der Laufzeit dieses Vertrages werden Sie auf Aufforderung von [NAME IHRES UNTERNEHMENS] [NAME IHRES UNTERNEHMENS] Rückmeldungen über das Testen und die Nutzung der Vorabversion der Software geben, einschließlich Fehler- oder Bug-Reports. Wenn Sie die Vorabversion der Software gemäß einer separaten schriftlichen Vereinbarung, wie z.B. der [NAME IHRES UNTERNEHMENS] Serienvereinbarung für nicht freigegebene Produkte, erhalten haben, unterliegt Ihre Nutzung der Software ebenfalls dieser Vereinbarung. Sie erklären sich damit einverstanden, dass Sie die Vorabversion der Software nicht unterlizenzieren, verleasen, verleihen, vermieten oder übertragen dürfen und bestätigen, dass Sie dies nicht tun werden. Bei Erhalt einer späteren, nicht freigegebenen Version der Vorabversion der Software oder der Freigabe einer öffentlich freigegebenen kommerziellen Version der Software durch [NAME IHRES UNTERNEHMENS], sei es als eigenständiges Produkt oder als Teil eines größeren Produkts, verpflichten Sie sich, alle frühere Vorabversion der Software, die Sie von [NAME IHRES UNTERNEHMENS] erhalten haben, zurückzugeben oder zu zerstören und sich an die Bedingungen des Endbenutzer-Lizenzvertrags für solche späteren Versionen der Vorabversion der Software zu halten. Ungeachtet anderslautender Bestimmungen in diesem Abschnitt erklären Sie sich, wenn Sie außerhalb der Vereinigten Staaten von Amerika oder Kanadas ansässig sind, damit einverstanden, alle nicht freigegebenen Versionen der Vorabversionen der Software innerhalb von dreißig (30) Tagen nach Abschluss Ihrer Tests der Software zurückzugeben oder zu vernichten, wenn dieses Datum vor dem Datum der ersten kommerziellen Lieferung der öffentlich freigegebenen (kommerziellen) Software durch [NAME IHRES UNTERNEHMENS] liegt.


8.    HAFTUNGSBESCHRÄNKUNG

UNTER KEINEN UMSTÄNDEN HAFTEN DIE VISCAN GMBH ODER IHRE LIEFERANTEN IHNEN GEGENÜBER FÜR SCHÄDEN, ANSPRÜCHE ODER KOSTEN ODER FÜR FOLGESCHÄDEN, INDIREKTE SCHÄDEN, BEILÄUFIG ENTSTANDENE SCHÄDEN ODER ENTGANGENE GEWINNE ODER EINSPARUNGEN, SELBST WENN EIN VERTRETER VON DER VISCAN GMBH ÜBER DIE MÖGLICHKEIT SOLCHER VERLUSTE, SCHÄDEN, ANSPRÜCHE ODER KOSTEN ODER FÜR ANSPRÜCHE DRITTER INFORMIERT WURDE. IM SPEZIELLEN HAFTET DIE VISCAN GMBH NICHT FÜR EINEN DATENVERLUST DURCH UPDATES AN DER SOFTWARE. DIE VORSTEHENDEN EINSCHRÄNKUNGEN UND AUSSCHLÜSSE GELTEN IN DEM UMFANG, DER NACH DEM IN IHRER RECHTSORDNUNG GELTENDEN RECHT ZULÄSSIG IST. DIE GESAMTHAFTUNG VON DER VISCAN GMBH UND IHRER LIEFERANTEN IM RAHMEN ODER IN VERBINDUNG MIT DIESER VEREINBARUNG IST AUF DEN FÜR DIE SOFTWARE GEZAHLTEN BETRAG BESCHRÄNKT, SOFERN VORHANDEN. Nichts in dieser Vereinbarung schränkt die Haftung von viscan GMBH Ihnen gegenüber im Falle von Tod oder Körperverletzung aufgrund von Fahrlässigkeit oder für das Delikt der Täuschung (Betrug) ein. Die Viscan GmbH handelt im Namen seiner Lieferanten zum Zweck des Ausschlusses und/oder der Beschränkung von Verpflichtungen, Garantien und Haftung, wie in diesem Vertrag vorgesehen, jedoch in keiner anderen Hinsicht und zu keinem anderen Zweck. Weitere Informationen finden Sie gegebenenfalls in den gerichtsspezifischen Informationen am Ende dieser Vereinbarung oder wenden Sie sich an die Supportabteilung der viscan GmbH.


9.    AUSFUHRBESTIMMUNGEN (FÜR AMERIKANISCHE UNTERNEHMEN)

Sie verpflichten sich, die Software nicht in einem Land zu verwenden, zu übertragen oder in ein Land zu exportieren oder auf eine Art und Weise zu verwenden, die durch den United States Export Administration Act oder andere Exportgesetze, -beschränkungen oder -vorschriften (zusammenfassend die "Exportgesetze") verboten ist. Wenn die Software gemäß den Exportgesetzen als exportkontrollierte Artikel gekennzeichnet ist, sichern Sie außerdem zu und gewährleisten, dass Sie kein Staatsbürger eines mit einem Embargo belegten Landes sind oder sich anderweitig in einem solchen Land befinden (einschließlich, aber nicht beschränkt auf Iran, Irak, Syrien, Sudan, Libyen, Kuba, Nordkorea und Serbien) und dass Ihnen der Erhalt der Software gemäß den Exportgesetzen nicht anderweitig untersagt ist. Alle Rechte zur Nutzung der Software werden unter der Bedingung gewährt, dass diese Rechte verwirkt werden, wenn Sie die Bedingungen dieser Vereinbarung nicht einhalten.


10.    GELTENDES RECHT

Diese Vereinbarung unterliegt den Gesetzen der Bundesrepublik Deutschland Gerichtstand Schwäbisch Hall und wird in Übereinstimmung mit diesen ausgelegt.


11.    ALLGEMEINE BESTIMMUNGEN

Sollte sich ein Teil dieser Vereinbarung als nichtig und nicht durchsetzbar erweisen, so berührt dies nicht die Gültigkeit des übrigen Teils der Vereinbarung, der gemäß seinen Bestimmungen gültig und durchsetzbar bleibt. Diese Vereinbarung lässt die gesetzlichen Rechte einer Partei, die als Verbraucher handelt, unberührt. Diese Vereinbarung kann nur durch ein von einem bevollmächtigten Vertreter der viscan GmbH unterzeichnetes Schreiben geändert werden. Updates können Ihnen von der viscan GmbH mit zusätzlichen oder anderen Bedingungen lizenziert werden. Dies ist die gesamte Vereinbarung zwischen der. Viscan GmbH und Ihnen in Bezug auf die Software, und sie ersetzt alle früheren Zusicherungen, Diskussionen, Zusagen, Mitteilungen oder Werbung in Bezug auf die Software.


12.    HINWEIS FÜR ENDVERBRAUCHER DER US-REGIERUNG

Bei der Software und der Dokumentation handelt es sich um "Commercial Items", wie dieser Begriff in 48 C.F.R. §2.101 definiert ist, bestehend aus "Commercial Computer Software" und "Commercial Computer Software Documentation", wie diese Begriffe in 48 C.F.R. §12.212 bzw. 48 C.F.R. §227.7202 verwendet werden. In Übereinstimmung mit 48 C.F.R. §12.212 bzw. 48 C.F.R. §§227.7202-1 bis 227.7202-4 werden die kommerzielle Computersoftware und die kommerzielle Computersoftware-Dokumentation an Endnutzer der US-Regierung (a) nur als kommerzielle Artikel und (b) nur mit den Rechten lizenziert, die allen anderen Endnutzern gemäß den hierin enthaltenen Bedingungen gewährt werden. Unveröffentlichte Rechte sind gemäß den Urheberrechtsgesetzen der Vereinigten Staaten vorbehalten. Für Endnutzer der US-Regierung verpflichtet sich die viscan GmbH], alle geltenden Gesetze zur Chancengleichheit einzuhalten, einschließlich, falls zutreffend, die Bestimmungen der Executive Order 11246 in ihrer geänderten Fassung, Abschnitt 402 des Vietnam Era Veterans Readjustment Assistance Act von 1974 (38 USC 4212) und Abschnitt 503 des Rehabilitation Act von 1973 in seiner geänderten Fassung sowie die Vorschriften in 41 CFR Parts 60-1 bis 60-60, 60-250 und 60-741. Die im vorstehenden Satz enthaltene Klausel über positive Maßnahmen und die Verordnungen werden durch Verweis in dieses Abkommen aufgenommen.


13.    EINHALTUNG VON LIZENZEN
